Acceptable Use Policy

This Acceptable Use Policy (the “AUP”) outlines the prohibited uses of the services provided and/or made available by or on behalf of HISPREAD INC London Co., Limited (hereinafter referred to as “HISPREAD”) and its affiliates. This AUP forms an integral part of the HISPREAD Customer Agreement (the “Agreement”) and any other contractual documents referencing this AUP. Capitalized terms used herein shall have the meanings ascribed to them in the Agreement unless otherwise specified. The examples and restrictions described in this AUP are not exhaustive.

HISPREAD reserves the right to modify this AUP at any time at its sole discretion by posting a revised version or providing notice to you. Such modifications will take effect immediately upon posting or as otherwise notified. By accessing or using the Services, you agree to be bound by the most current version of this AUP. HISPREAD may suspend or terminate the Services if you or your End Users violate this AUP. Terms defined herein shall carry the same meanings as in the Agreement.


Prohibited Activities

You are prohibited from accessing, using, or permitting others to access or use the Services to:

  1. Violate any applicable local, national, or international laws, regulations, or rules;
  2. Infringe upon or otherwise encroach on the rights of others, including but not limited to privacy rights or intellectual property rights;
  3. Conduct, promote, facilitate, or allow illegal, unlawful, infringing, harmful, or fraudulent activities, including but not limited to:
    • Activities intended to harm or exploit minors in any way;
    • Distribution of pornography, illegal gambling, or organization of Ponzi (pyramid) schemes;
    • Network attacks, phishing, or unauthorized interception of systems, programs, or data;
    • Unauthorized monitoring of data or traffic on the Services;
  4. Transmit, offer, upload, download, use, re-use, disseminate, or distribute any unlawful, infringing, offensive, or harmful content or materials, including those outlined in the “Prohibited Content” section below;
  5. Transmit any data or material containing viruses, worms, Trojan horses, time-bombs, keystroke loggers, spyware, adware, or any other harmful programs designed to adversely affect the operation or security of any computer software or hardware;
  6. Attack, interfere with, disrupt, or adversely affect any Services, hardware, software, systems, sites, or networks, including but not limited to:
    • Using high-volume automated means (e.g., robots, spiders, scripts, or similar data-gathering or extraction methods) to access or attack any Services, hardware, software, systems, sites, or networks;
  7. Access or attempt to access any portion of the Services, accounts, or systems without authorization;
  8. Violate or compromise the security or integrity of the Services, or any hardware, software, systems, sites, or networks;
  9. Distribute, transmit, or send unsolicited mass emails or other messages, promotions, advertising, or solicitations (e.g., “spam”);
  10. Fraudulently offer goods or services, or any advertising, promotional, or other materials containing false, deceptive, or misleading statements or representations.

Prohibited Content

The following content prohibitions apply to all traffic transmitted via the Services. Your Content shall not:

  1. Be defamatory, obscene, offensive, hateful, or inflammatory;
  2. Promote violence, sexually explicit material, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, age, or any other grounds;
  3. Infringe any intellectual property rights;
  4. Be false, deceptive, or misleading;
  5. Promote, advocate, incite, or assist any illegal activities;
  6. Be threatening, abusive, or violate or invade a third party’s privacy;
  7. Contain statements that you know or believe, or have reasonable grounds to believe, could be interpreted as direct or indirect encouragement or inducement to commit, prepare, or instigate acts of terrorism.

Monitoring and Enforcement

HISPREAD reserves the right, but is not obligated, to investigate any violation of this AUP or misuse of the Services. In the event of a violation or suspected violation, HISPREAD may, at its sole discretion and without liability to you, take any of the following actions (without prejudice to any other rights or remedies under the Agreement):

  1. Investigate any suspected or actual violation of this AUP or misuse of the Services;
  2. Investigate and help prevent security threats, fraud, or other illegal, infringing, or harmful activities;
  3. Remove, block, disable access to, or modify any content or materials, including but not limited to Your Content;
  4. Issue a warning to you and require you to take adequate corrective measures;
  5. Commence legal proceedings against you for reimbursement of all costs on an indemnity basis (including but not limited to reasonable administrative and legal costs) resulting from the breach;
  6. Take further legal action against you;
  7. Suspend or terminate your account, provision of Services, your Order, or the Agreement immediately, with Your Content stored in the Services environment potentially being deleted without notice;
  8. Report your violation to appropriate law enforcement agencies or other relevant third parties.

Failure to comply with this AUP constitutes a material breach of the Agreement.


Reporting Violations

If you become aware of any violation of this AUP for which you are responsible, you must immediately notify HISPREAD and provide reasonable assistance to stop or remedy such violation. You may also contact HISPREAD to report any other suspected or actual violation of this AUP.

Governing Law and Jurisdiction

The Parties irrevocably agree that the courts of Beijing, Haidian District, People’s Republic of China, shall have exclusive jurisdiction to settle any issues, claims, disputes, or matters arising out of, relating to, or in connection with this AUP (whether contractual or non-contractual).
